In addition, when using particular Snap-on ownedor operated services, you and Snap-on shall be subject to any posted guidelinesor rules applicable to such services, which may be posted from time to time.All such guidelines or rules (including but not limited to our Spam Policy arehereby incorporated by reference into the TOS. 2. DESCRIPTION OF SERVICE
Snap-on provides users with access to a rich collection ofresources, including various communications tools, forums, shopping services,search services, personalized content and branded programming through itsnetwork of properties which may be accessed through any various medium ordevice now known or hereafter developed (the "Service"). You alsounderstand and agree that the Service may include advertisements and that theseadvertisements are necessary for Snap-on to provide the Service. You alsounderstand and agree that the Service may include certain communications from Snap-on,such as service announcements, administrative messages and the Snap-onNewsletter, and that these communications are considered part of Snap-onmembership and you will not be able to opt out of receiving them. Unlessexplicitly stated otherwise, any new features that augments or enhances thecurrent Service, including the release of new Snap-on properties, shall besubject to the TOS. You understand and agree that the Service is provided"AS-IS" and that Snap-on assumes no responsibility for the timeliness,deletion, mis-delivery or failure to store any user communications orpersonalization settings. You are responsible for obtaining access to theService, and that access may involve third-party fees (such as Internet serviceprovider or airtime charges). You are responsible for those fees, includingthose fees associated with the display or delivery of advertisements. Inaddition, you must provide and are responsible for all equipment necessary toaccess the Service.
Please be aware that Snap-onhas created certain areas on the Service that contain adult or mature content. Youmust be at least 18 years of age to access and view any and all portions ofthis Snap-on Service.
3. YOUR REGISTRATIONOBLIGATIONS
In consideration of your useof the Service, you represent that you are of legal age to form a bindingcontract and are not a person barred from receiving services under the laws ofthe United States or other applicable jurisdiction. You also agree to:(a) provide true, accurate, current and complete information about yourself asprompted by the Service's registration form (the "Registration Data")and (b) maintain and promptly update the Registration Data to keep it true,accurate, current and complete. If you provide any information that is untrue,inaccurate, not current or incomplete, or Snap-on has reasonable grounds tosuspect that such information is untrue, inaccurate, not current or incomplete,Snap-on has the right to suspend or terminate your account and refuse any andall current or future use of the Service (or any portion thereof). Snap-on isconcerned about the safety and privacy of all its users, particularly children. For this reason this Snap-on Service is restrictedto members that are 18 years of age or older.

5. MEMBER ACCOUNT, PASSWORDAND SECURITY
You will receive a passwordand account designation upon completing the Service's registration process. Youare responsible for maintaining the confidentiality of the password and accountand are fully responsible for all activities that occur under your password oraccount. You agree to (a) immediately notify Snap-on of any unauthorized use ofyour password or account or any other breach of security, and (b) ensure thatyou exit from your account at the end of each session. Snap-on cannot and willnot be liable for any loss or damage arising from your failure to comply withthis Section 5.
6. MEMBER CONDUCT
You understand that allinformation, data, text, software, music, sound, photographs, graphics, video,messages, tags, or other materials ("Content"), whether publiclyposted or privately transmitted, are the sole responsibility of the person fromwhom such Content originated. This means that you, and not Snap-on, areentirely responsible for all Content that you upload, post, email, transmit orotherwise make available via the Service. Snap-on does not control the Contentposted via the Service and, as such, does not guarantee the accuracy, integrityor quality of such Content. You understand that by using the Service, you maybe exposed to Content that is offensive, indecent or objectionable. Under nocircumstances will Snap-on be liable in any way for any Content, including, butnot limited to, any errors or omissions in any Content, or any loss or damageof any kind incurred as a result of the use of any Content posted, emailed,transmitted or otherwise made available via the Service.
You agree to not use theService to: upload, post, email, transmit or otherwise make available anyContent that is unlawful, harmful, threatening, abusive, harassing, tortuous,defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful,or racially, ethnically or otherwise objectionable; harm minors in any way;
impersonate any person orentity, including, but not limited to, a Snap-on official, forum leader, guideor host, or falsely state or otherwise misrepresent your affiliation with aperson or entity;
forge headers or otherwisemanipulate identifiers in order to disguise the origin of any Contenttransmitted through the Service; upload, post, email, transmit or otherwisemake available any Content that you do not have a right to make available underany law or under contractual or fiduciary relationships (such as insideinformation, proprietary and confidential information learned or disclosed aspart of employment relationships or under nondisclosure agreements);
upload, post, email, transmitor otherwise make available any Content that infringes any patent, trademark,trade secret, copyright or other proprietary rights ("Rights") of anyparty;
upload, post, email, transmitor otherwise make available any unsolicited or unauthorized advertising, promotionalmaterials, "junk mail," "spam," "chain letters,""pyramid schemes," or any other form of solicitation, except in thoseareas (such as shopping) that are designated for such purpose (please read ourcomplete Spam Policy); upload, post, email, transmit or otherwise makeavailable any material that contains software viruses or any other computercode, files or programs designed to interrupt, destroy or limit thefunctionality of any computer software or hardware or telecommunicationsequipment; disrupt the normal flow of dialogue, cause a screen to"scroll" faster than other users of the Service are able to type, orotherwise act in a manner that negatively affects other users' ability toengage in real time exchanges;
interfere with or disrupt theService or servers or networks connected to the Service, or disobey anyrequirements, procedures, policies or regulations of networks connected to theService;
intentionally orunintentionally violate any applicable local, state, national or internationallaw, including, but not limited to, regulations promulgated by the U.S.Securities and Exchange Commission, any rules of any national or othersecurities exchange, including, without limitation, the New York StockExchange, the American Stock Exchange or the NASDAQ, and any regulations havingthe force of law; provide material support or resources (or to conceal ordisguise the nature, location, source, or ownership of material support orresources) to any organization(s) designated by the United States government asa foreign terrorist organization pursuant to section 219 of the Immigration andNationality Act; "stalk" or otherwise harass another; and/or collector store personal data about other users in connection with the prohibitedconduct and activities set forth in paragraphs a through m above.
You acknowledge that Snap-onmay or may not pre-screen Content, but that Snap-on and its designees shallhave the right (but not the obligation) in their sole discretion to pre-screen,refuse, or move any Content that is available via the Service. Without limitingthe foregoing, Snap-on and its designees shall have the right to remove anyContent that violates the TOS or is otherwise objectionable. You agree that youmust evaluate, and bear all risks associated with, the use of any Content,including any reliance on the accuracy, completeness, or usefulness of suchContent. In this regard, you acknowledge that you may not rely on any Contentcreated by Snap-on or submitted to Snap-on, including without limitation informationin Snap-on Message Boards and in all other parts of the Service.
You acknowledge, consent andagree that Snap-on may access, preserve and disclose your account informationand Content if required to do so by law or in a good faith belief that suchaccess preservation or disclosure is reasonably necessary to:
(a) comply with legalprocess; (b) enforce the TOS; (c) respond to claims that any Content violatesthe rights of third parties; (d) respond to your requests for customer service;or (e) protect the rights, property or personal safety of Snap-on, its usersand the public.
You understand that thetechnical processing and transmission of the Service, including your Content,may involve (a) transmissions over various networks; and (b) changes to conformand adapt to technical requirements of connecting networks or devices.
You understand that theService and software embodied within the Service may include securitycomponents that permit digital materials to be protected, and that use of thesematerials is subject to usage rules set by Snap-on and/or content providers whoprovide content to the Service. You may not attempt to override or circumventany of the usage rules embedded into the Service. Any unauthorizedreproduction, publication, further distribution or public exhibition of thematerials provided on the Service, in whole or in part, is strictly prohibited.
7. INTERSTATE NATURE OFCOMMUNICATIONS ON Snap-on NETWORK
When you register with Snap-on,you acknowledge that in using Snap-on services to send electroniccommunications (including but not limited to email, search queries, sendingmessages to Snap-on Chat or Snap-on, uploading photos and files to Snap-on Forums,and other Internet activities), you will be causing communications to be sentthrough Snap-on 's computer networks, portions of which are located in California,Illinois, Wisconsin, and other locations in the United States and portions ofwhich are located abroad. As a result, and also as a result of Snap-on'snetwork architecture and business practices and the nature of electroniccommunications, even communications that seem to be intrastate in nature canresult in the transmission of interstate communications regardless of where youare physically located at the time of transmission. Accordingly, by agreeing tothis Terms of Service, you acknowledge that use of the service results ininterstate data transmissions.
8. SPECIAL ADMONITIONS FORINTERNATIONAL USE
Recognizing the global natureof the Internet, you agree to comply with all local rules regarding onlineconduct and acceptable Content. Specifically, you agree to comply with allapplicable laws regarding the transmission of technical data exported from the United Statesor the country in which you reside.
9. CONTENT SUBMITTED OR MADEAVAILABLE FOR INCLUSION ON THE SERVICE
Snap-on does not claim ownership of Content you submit ormake available for inclusion on the Service. However, with respect to Contentyou submit or make available for inclusion on publicly accessible areas of theService, you grant Snap-on the following worldwide, royalty-free andnon-exclusive license(s), as applicable:
With respect toContent you submit or make available for inclusion on publicly accessible areasof Snap-on Message Boards, the license to use, distribute, reproduce, modify, adapt,publicly perform and publicly display such Content on the Service solely forthe purposes of providing and promoting the specific Snap-on Message Boards to whichsuch Content was submitted or made available. This license exists only for aslong as you elect to continue to include such Content on the Service and willterminate at the time you remove or Snap-onremoves such Content from the Service.
With respect tophotos, graphics, audio or video you submit or make available for inclusion onpublicly accessible areas of the Service other than Snap-on Message Boards, the license to use, distribute, reproduce, modify, adapt,publicly perform and publicly display such Content on the Service solely forthe purpose for which such Content was submitted or made available. Thislicense exists only for as long as you elect to continue to include suchContent on the Service and will terminate at the time you remove or Snap-on removes such Content from the Service.
With respect toContent other than photos, graphics, audio or video you submit or makeavailable for inclusion on publicly accessible areas of the Service other than Snap-on Forums, the perpetual, irrevocable and fully sub-licensablelicense to use, distribute, reproduce, modify, adapt, publish, translate,publicly perform and publicly display such Content (in whole or in part) and toincorporate such Content into other works in any format or medium now known orlater developed.
"Publiclyaccessible" areas of the Service are those areas of the Snap-on network ofproperties that are intended by Snap-on to be available to the general public.By way of example, publicly accessible areas of the Service would include Snap-onMessage Boards that are open to both members and visitors.
10. INDEMNITY
You agree to indemnify andhold Snap-on and its subsidiaries, affiliates, officers, agents, employees,partners and licensors harmless from any claim or demand, including reasonableattorneys' fees, made by any third party due to or arising out of Content yousubmit, post, transmit or otherwise make available through the Service, youruse of the Service, your connection to the Service, your violation of the TOS,or your violation of any rights of another.
11. NO RESALE OF SERVICE
You agree not to reproduce,duplicate, copy, sell, trade, resell or exploit for any commercial purposes,any portion of the Service (including your Snap-on ID), use of the Service, oraccess to the Service.
12. GENERAL PRACTICESREGARDING USE AND STORAGE
You acknowledge that Snap-onmay establish general practices and limits concerning use of the Service,including without limitation the maximum number of days that email messages,message board postings or other uploaded Content will be retained by the Service,the maximum number of email messages that may be sent from or received by anaccount on the Service, the maximum size of any email message that may be sentfrom or received by an account on the Service, the maximum disk space that willbe allotted on Snap-on's servers on your behalf, and the maximum number oftimes (and the maximum duration for which) you may access the Service in agiven period of time. You agree that Snap-on has no responsibility or liabilityfor the deletion or failure to store any messages and other communications orother Content maintained or transmitted by the Service. You acknowledge that Snap-onreserves the right to log off accounts that are inactive for an extended periodof time. You further acknowledge that Snap-on reserves the right to modifythese general practices and limits from time to time.
13. MODIFICATIONS TO SERVICE
Snap-on reserves the right at any time and from time to timeto modify or discontinue, temporarily or permanently, the Service (or any partthereof) with or without notice. You agree that Snap-on shall not be liable toyou or to any third party for any modification, suspension or discontinuance ofthe Service.
14. TERMINATION
You agree that Snap-on may, undercertain circumstances and without prior notice, immediately terminate your Snap-onaccount, any associated email address, and access to the Service. Cause forsuch termination shall include, but not be limited to, (a) breaches orviolations of the TOS or other incorporated agreements or guidelines, (b)requests by law enforcement or other government agencies, (c) a request by you(self-initiated account deletions), (d) discontinuance or material modificationto the Service (or any part thereof), (e) unexpected technical or securityissues or problems, (f) extended periods of inactivity, (g) engagement by youin fraudulent or illegal activities, and/or (h) nonpayment of any fees owed byyou in connection with the Services. Termination of your Snap-on accountincludes (a) removal of access to all offerings within the Service, includingbut not limited to Snap-on Mail, Groups, Messenger, Chat, Domains, Personals,Auctions, Message Boards, Greetings, Alerts and Games, (b) deletion of yourpassword and all related information, files and content associated with orinside your account (or any part thereof), and (c) barring of further use ofthe Service. Further, you agree that all terminations for cause shall be madein Snap-on 's sole discretion and that Snap-on shall not be liable to you orany third party for any termination of your account, any associated emailaddress, or access to the Service.
15. DEALINGS WITH ADVERTISERS
Your correspondence orbusiness dealings with, or participation in promotions of, advertisers found onor through the Service, including payment and delivery of related goods orservices, and any other terms, conditions, warranties or representationsassociated with such dealings, are solely between you and such advertiser. Youagree that Snap-on shall not be responsible or liable for any loss or damage ofany sort incurred as the result of any such dealings or as the result of thepresence of such advertisers on the Service.
16. LINKS
The Service may provide, orthird parties may provide, links to other World Wide Web sites or resources.Because Snap-on has no control over such sites and resources, you acknowledgeand agree that Snap-on is not responsible for the availability of such externalsites or resources, and does not endorse and is not responsible or liable forany Content, advertising, products or other materials on or available from suchsites or resources. You further acknowledge and agree that Snap-on shall not beresponsible or liable, directly or indirectly, for any damage or loss caused oralleged to be caused by or in connection with use of or reliance on any suchContent, goods or services available on or through any such site or resource.
17. DISCLAIMER OF WARRANTIES
YOU EXPRESSLY UNDERSTAND ANDAGREE THAT:
YOUR USE OF THE SERVICE IS ATYOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "ASAVAILABLE" BASIS. SNAPON AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES,AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIESOF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIEDWARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE ANDNON-INFRINGEMENT.
SNAP-ON AND ITSSUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORSMAKE NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICEWILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINEDFROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OFANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BYYOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND (v) ANYERRORS IN THE SOFTWARE WILL BE CORRECTED.

18. LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT SNAP-ONANDITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORSSHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FORLOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SNAP-ON HAS BEENADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THEINABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICESRESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED ORMESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE;(iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTSOR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATINGTO THE SERVICE.
19. EXCLUSIONS AND LIMITATIONS
SOME JURISDICTIONS DO NOTALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OFLIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THEABOVE LIMITATIONS OF SECTIONS 17 AND 18 MAY NOT APPLY TO YOU.
20. NO THIRD-PARTYBENEFICIARIES
You agree that, except asotherwise expressly provided in this TOS, there shall be no third-party beneficiariesto this agreement.
21. NOTICE
Snap-on may provide you withnotices, including those regarding changes to the TOS, by email, regular mailor postings on the Service.
22. TRADEMARK INFORMATION
SNAP-ON, SUN, JOHN BEAN, FLANK DRIVE, BLUE POINT, WILLIAMS, VANTAGE and INTEGRITY are registered trademarksof Snap-on Incorporated in the United States, and some areregistered in other countries. All other Snap-on trademarks, service marks,domain names, logos, and company names referred to on this Site are eithertrademarks, registered trademarks, service marks, domain names, logos, companynames of or are otherwise the property of Snap-on Incorporated or itsaffiliates or licensors. In countries where any of the Snap-on trademarks,service marks, domain names, logos and company names are not registered,Snap-on Incorporated claims other rights associated with unregisteredtrademarks, service marks, domain names, logos, and company names. 26. GENERAL INFORMATION
Entire Agreement. The TOS constitutes the entire agreement between youand Snap-on and governs your use of the Service, superseding any prioragreements between you and Snap-on with respect to the Service. You also may besubject to additional terms and conditions that may apply when you use orpurchase certain other Snap-on services, affiliate services, third-partycontent or third-party software.
Choice of Law and Forum. The TOS and the relationship between you and Snap-onshall be governed by the laws of the State of California without regard toits conflict of law provisions. You and Snap-on agree to submit to the personaland exclusive jurisdiction of the courts located within the county of Santa Clara, California.
Waiver and Severability ofTerms. The failure of Snap-on toexercise or enforce any right or provision of the TOS shall not constitute awaiver of such right or provision. If any provision of the TOS is found by acourt of competent jurisdiction to be invalid, the parties nevertheless agreethat the court should endeavor to give effect to the parties' intentions asreflected in the provision, and the other provisions of the TOS remain in fullforce and effect.
No Right of Survivorshipand Non-Transferability. You agreethat your Snap-on account is non-transferable and any rights to your Snap-on IDor contents within your account terminate upon your death. Upon receipt of acopy of a death certificate, your account may be terminated and all contentstherein permanently deleted.
Statute of Limitations. You agree that regardless of any statute or law tothe contrary, any claim or cause of action arising out of or related to use ofthe Service or the TOS must be filed within one (1) year after such claim orcause of action arose or be forever barred.

27. VIOLATIONS
